Terms of Service

1. Services

Loop Stack Technologies provides software development, web design, mobile application development, cloud/DevOps consulting, and related IT services as described in project-specific Statements of Work (SOW) or service agreements.

• All project scope, deliverables, timelines, and pricing are defined in individual project agreements.
• We reserve the right to subcontract portions of work to vetted professionals while retaining full accountability.
• We may update or modify our service offerings at any time with reasonable notice.

2. Payment Terms

• Payment schedules are outlined in the project agreement (typically 30–50% upfront, remainder upon delivery).
• Invoices are due within 7 days of issue unless otherwise agreed in writing.
• Late payments may incur an interest charge of 1.5% per month on the overdue balance.
• All prices are in Indian Rupees (INR) unless expressly stated otherwise.
• Refunds are handled on a case-by-case basis per the project agreement terms.

3. Intellectual Property

Upon full payment of all outstanding invoices:

• All custom code, designs, and deliverables created specifically for your project become your property.
• Loop Stack Technologies retains ownership of pre-existing tools, libraries, frameworks, and methodologies ("Background IP").
• We may use your project name and general description (not proprietary details) in our portfolio and marketing unless you request otherwise in writing.
• Open-source components used in your project remain subject to their original licenses.

4. Confidentiality

Both parties agree to keep confidential any non-public information shared during the course of the project engagement. This includes business plans, technical specifications, customer data, and financial information. This obligation survives the termination of our engagement for a period of three (3) years.

5. Limitation of Liability

To the maximum extent permitted by law, Loop Stack Technologies' total liability for any claims arising from our services shall not exceed the total amount paid by you for the specific project giving rise to the claim. We are not liable for indirect, incidental, special, or consequential damages including loss of profits, data, or business opportunities.

6. Warranty

• We provide a 30-day bug-fix warranty on all delivered code from the date of final delivery.
• This warranty covers bugs present at the time of delivery and does not cover issues introduced by third-party changes or client modifications.
• Services are provided "as is" beyond the warranty period unless a separate maintenance agreement is in place.

7. Termination

Either party may terminate a project agreement with 14 days written notice. In such cases, you will be invoiced for all work completed up to the termination date. Deposits paid for work not yet commenced may be refunded at our discretion.

8. Governing Law

These terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of India. We encourage resolving disputes amicably before seeking legal remedies.
